1. Scope of Service
AmbientePay provides a decentralized bridging infrastructure that allows merchants to accept fiat payments which are automatically converted and settled in stablecoin assets on the Polygon network. By using our service, you acknowledge that you are a business entity operating in compliance with your local jurisdiction.
2. Prohibited Industries & Ethical Standards
Strict Prohibitions
AmbientePay strictly prohibits the use of its gateway for the sale, distribution, or promotion of the following. Violation results in immediate seizure of all processed funds without recourse:
- ✕ Pornography & Adult Content
- ✕ Narcotics & Controlled Substances
- ✕ Weapons, Ammunition & Explosives
- ✕ Stolen Goods & Pirated Media
- ✕ Unregulated Pharmaceutical Products
- ✕ Fake IDs & Counterfeit Documents
- ✕ Gambling & Get-Rich-Quick Schemes
- ✕ Multi-Level Marketing (MLM)
- ✕ Tobacco Products
- ✕ Cryptocurrency Mixers/Tumblers
- ✕ Privacy Coins (without AML controls)
- ✕ Sanctioned Entities or Jurisdictions
Merchants found attempting to "mask" or misrepresent their products during the manual examination phase will be permanently blacklisted across our entire aggregator network.
3. Manual Examination & Auditing
Transparency is our core requirement. Every store integrated with the AmbientePay Hub is subject to:
Pre-Approval Vetting
Initial applications take 48-72 hours for manual human review of your business model, frontend content, and historical merchant repute.
Recurring Audits
Our system performs daily automated scrapes and periodic manual spot-checks of your WooCommerce storefront to ensure compliance persistence.
4. Settlement Holds & Security
The Mandatory 168-Hour Hold
All new merchant accounts are subject to a **1-week (168-hour) fund hold** on all incoming transactions for the first 30 days of active processing. This protocol is in place to mitigate "hit and run" fraud and to allow for consumer verification of digital/physical delivery.
"In the event of suspected stealing or merchant bad behavior, funds will be immediately frozen and fully refunded to the originating payment methods, regardless of the on-chain status."
5. Legal Tracking & External Audits
AmbientePay utilizes high-level transaction tracing from third-party security solutions. All payment routes, IP originations, and metadata are legally logged and stored for a minimum of 5 years. We cooperate fully with international financial regulators and cyber-crime divisions in the event of a forensic audit.
6. Third-Party Payment Processor Terms
Transak Payment Services
AmbientePay uses Transak Limited as our fiat-to-crypto payment processor. By using our payment gateway, you acknowledge and agree that you are also bound by Transak's Terms of Service.
Transak handles all KYC (Know Your Customer) verification, payment processing, and compliance with financial regulations. Your use of AmbientePay constitutes acceptance of both our terms and Transak's terms.
7. Cryptocurrency Risk Disclosure
Important Risk Warning
All payments processed through AmbientePay are converted to cryptocurrency (stablecoins). Please understand the following risks:
- ! The value of cryptocurrencies can fluctuate significantly. Even stablecoins may lose their peg in extreme market conditions.
- ! Cryptocurrency transactions are irreversible. Once funds are sent to a wallet address, they cannot be recalled.
- ! You are responsible for securing your cryptocurrency wallet. Loss of private keys means permanent loss of funds.
- ! Only invest what you can afford to lose. Cryptocurrency payments should be treated as high-risk transactions.
This warning is required under FCA (Financial Conduct Authority) regulations for UK users and applies to all cryptocurrency-related payment services globally.
8. Promotional Policy & Geographic Restrictions
AmbientePay does not currently offer promotional incentives, discounts, cashback, or referral bonuses for cryptocurrency purchases.
In compliance with UK FCA regulations, any future promotional campaigns (including zero-fee offers or discounts) will be automatically blocked for users accessing our services from the United Kingdom.
9. Partner Data Security Obligations
As a partner using AmbientePay services, you are responsible for:
- • Protecting all customer data on your servers and website in accordance with applicable data protection laws (GDPR, CCPA, etc.)
- • Implementing appropriate security controls to prevent unauthorized access to payment data
- • Never storing or attempting to capture CVV2/CVC codes, full card numbers, or other sensitive payment credentials
- • Promptly notifying us within 3 days of any security breach, insolvency proceedings, or material business changes
Failure to maintain adequate security may result in account suspension or termination.
10. Marketing & Financial Promotion Rules
When displaying or promoting AmbientePay payment options on your website:
- • All information must be fair, clear, and not misleading
- • You may display: Transak's name/logo, cryptoasset on offer, fiat price, conversion rate, fees, and a payment button
- • You must not make false claims about transaction speed, approval rates, or service guarantees
- • AmbientePay reserves the right to request removal or amendment of any promotional content within 48 hours
11. Business Continuity & Account Updates
You Must Notify Us Within 3 Days If:
- • You file for bankruptcy, receivership, or insolvency proceedings
- • There is a material adverse change in your financial condition
- • You transfer or sell 25%+ of your assets or change business ownership
- • Legal proceedings are filed against you that may impact our reputation
- • You receive judgments, liens, or levies against 25%+ of your assets
We may suspend your account or terminate this agreement if you fail to keep your business information current.
12. Dispute Resolution & Arbitration
Any disputes arising from your use of AmbientePay services will be resolved through binding arbitration in accordance with the London Court of International Arbitration Rules.

13. Electronic Signatures & Notices
By registering and using AmbientePay services, you consent to receive all legal notices, agreements, and disclosures electronically via email or through your merchant dashboard. Electronic delivery has the same legal effect as physical delivery.
14. Limitation of Liability
AmbientePay is a technical bridge and is not responsible for the end-user's consumer experience beyond the successful processing of the payment through the gateway. Merchants bear full responsibility for the quality and delivery of their products.

Services are provided "AS IS" without warranties of any kind. We do not guarantee transaction processing times, payout schedules, uninterrupted service, or error-free operation. Our liability is limited to direct damages not exceeding fees paid in the 3 months prior to the event.
